If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms and that your agreement to these terms constitutes agreement by that organization.

It is your responsibility to review these terms periodically. Your continued use of our services following any modification constitutes acceptance of the modified terms.

13. Consequential Damages Exclusion

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you have paid us in the six months prior to the claim, or one hundred US dollars (100 USD), whichever is greater. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

14. Force Majeure Provisions

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of nature, weather conditions affecting coffee harvests, war, terrorism, labor disputes, government actions, pandemics, or failures of third-party service providers. Agricultural factors affecting coffee production are inherently subject to such circumstances.

15. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Vietnam, without regard to conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Gia Lai province, Vietnam, and you hereby consent to personal jurisdiction and venue in such courts.

16. Dispute Resolution Procedures

In the event of any dispute arising from these terms or your use of our services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies in accordance with the governing law provisions above.

17. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through a notice on our website.
